Jump to a section

These Terms of Service ("Terms") govern access to and use of OLQ, including the OLQ website, software platform, dashboards, integrations, APIs, NFC- and QR-enabled functionality, review-management tools, analytics, artificial-intelligence features and related services provided by OLQ LTD. By creating an account, purchasing or using paid Services, accepting an Order Form or otherwise indicating acceptance, you agree to be bound by these Terms. If you act for an organisation, you confirm you have authority to bind it.

1. About OLQ

OLQ is operated by OLQ LTD, company number 17241125, with registered office at 665 Romford Road, London, United Kingdom, E12 5AD. References to "OLQ", "we", "us" and "our" mean OLQ LTD. References to "Customer", "you" and "your" mean the business, organisation or person entering into the agreement.

2. Business use and eligibility

OLQ is designed primarily for business and professional use. By entering into a paid OLQ subscription you confirm you are acting for purposes related to a trade, business, craft or profession and are at least 18 years old. Members of the public may still interact with OLQ-enabled QR or NFC review journeys without opening a business account.

3. Agreement structure

Your agreement may include these Terms, an Order Form, our Privacy Policy, any applicable Data Processing Agreement, service-specific terms and any separately executed enterprise agreement. If documents conflict, a signed enterprise agreement prevails, followed by an accepted Order Form, then a DPA for data-protection matters, then these Terms.

4. Accounts and authorised users

You must provide accurate account information and keep credentials confidential. You are responsible for users you authorise and for assigning appropriate permissions. You must promptly notify us of suspected compromise or unauthorised use. Enterprise customers may create brands, locations, manager accounts and employee records, and are responsible for ensuring they have authority to do so.

5. Licence to use OLQ

Subject to payment and compliance with these Terms, OLQ grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to use the Services for your internal business purposes. No ownership of OLQ software or intellectual property transfers to you.

  • You must not resell, rent or sublicense OLQ except under an expressly authorised partner arrangement.
  • You must not reverse engineer, decompile or circumvent technical restrictions except where the law expressly prevents us from restricting that activity.
  • You must not use unauthorised extraction or scraping to build a substantially competing service.

6. Review-management services

OLQ may provide review monitoring, location and employee attribution, NFC and QR review journeys, competitor information, review-response tools, AI-assisted responses, business-profile connections, analytics and related functionality. Available features depend on your plan and may change over time.

7. Google Business Profile and other integrations

You may connect supported third-party services, including Google Business Profile. By doing so, you confirm that you are authorised to connect and manage the relevant account or location and authorise OLQ to process the information required to provide the integration. Google and other third-party platforms control their own services, APIs, policies, algorithms and moderation decisions. OLQ is not responsible for third-party outages, account suspensions, API changes, review removals or ranking changes.

8. Review integrity and prohibited manipulation

You must use OLQ in accordance with applicable law and the rules of relevant review platforms. You must not use OLQ to fabricate reviews, impersonate customers, operate review farms, purchase fraudulent reviews, use bots to create review activity, misrepresent the source of reviews or otherwise manipulate a review platform deceptively. OLQ may suspend functionality where we reasonably believe it is being used for fraudulent or prohibited review manipulation.

9. No guarantee of reviews, rankings or results

OLQ supplies tools, not guaranteed outcomes. We do not guarantee that anyone will leave a review, that reviews will be positive, that a business will reach a particular star rating, rank more highly, increase revenue, acquire customers or achieve any other particular commercial result. Third-party platforms may filter, delay or remove reviews under their own policies.

10. NFC and QR functionality

Customers may assign OLQ-enabled NFC products, QR codes and links to organisations, brands, locations, managers or employees. Customers are responsible for accurate assignment and lawful use. You must not configure OLQ products to redirect users to malware, phishing pages, fraudulent destinations or unlawful content.

11. Employee attribution

Where OLQ enables employee attribution, the Customer is responsible for the lawful basis, transparency and employment-law implications of using employee names, emails, assignments and performance-related metrics. OLQ provides the technical tools but does not direct Customer employment decisions.

12. Competitor information

Competitor information may originate from public sources or third-party services and may be incomplete, delayed or inaccurate. Customers must independently verify information before relying on it for material decisions.

13. Artificial intelligence features

OLQ may provide AI-assisted features such as suggested review responses. AI output may contain errors, misunderstand context or produce inappropriate language. Customers must review and approve output before publishing or relying on it. You must not use AI features to generate unlawful, defamatory, discriminatory or fraudulent content.

14. Customer content and feedback

You retain rights in content you own. You grant OLQ a non-exclusive licence to host, store, process, display and transmit Customer Content as reasonably necessary to provide, secure and maintain the Services, comply with law and fulfil our obligations. You confirm you have the rights needed to provide that content. Feedback may be used by OLQ without payment, but this does not transfer ownership of confidential Customer Data.

15. OLQ intellectual property

OLQ and its licensors retain all rights in the Services, software, interfaces, designs, workflows, databases, documentation, branding, technology and other proprietary materials. Third-party trademarks remain the property of their respective owners.

16. Acceptable use

You must not use OLQ for unlawful purposes, fraud, phishing, malware distribution, harassment, privacy infringement, unauthorised system access, excessive disruptive automation, security probing without permission, spam, impersonation or activity reasonably likely to damage OLQ, other customers or third parties.

17. API use

Where API access is provided, you must secure API credentials, follow documentation and rate limits, and use the API only for authorised purposes. OLQ may restrict API access to protect security, stability or other customers.

18. Privacy and data protection

Our processing of personal information is described in the OLQ Privacy Policy. Each party must comply with applicable data-protection law. Where OLQ processes personal data on a Customer's behalf, the parties may be subject to the OLQ Data Processing Agreement. Customers remain responsible for having appropriate authority and lawful bases for personal data they submit.

19. Service providers and international processing

OLQ may use hosting, payment, analytics, communications, security, AI and other suppliers. Current suppliers may include Hostinger and Stripe, and analytics may include Google Analytics where enabled. OLQ may use personnel or contractors outside the UK, including in Bangladesh, subject to applicable safeguards.

20. Subscriptions and fees

Paid Services are charged per active (non-archived) branch, on a monthly subscription billed in advance, unless an Order Form states otherwise. There is no free trial: the subscription starts, and is first charged, when you complete checkout. Fees are charged exactly as stated, and no VAT is added to them. Payments are processed by Stripe. By starting a subscription you authorise recurring charges to your chosen payment method for each billing period. When you add or restore a branch during a billing period, a prorated charge for the remainder of that period is taken at that time, unless a branch slot for that period has already been paid for; if that charge fails, the branch is not added. When you archive a branch, the lower fee applies from the next renewal and no refund or credit is given for the rest of the current period. NFC cards, stands and stickers ordered for an active branch are supplied without additional charge.

21. Renewal, cancellation and refunds

Unless an Order Form states otherwise, subscriptions renew automatically for successive billing periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the current paid period, the Services remain available until then, and you may withdraw the cancellation before that date. Except where required by law, fees already paid are non-refundable and partial periods are not refunded. OLQ may, at its sole discretion, issue a full or partial refund, which will be made as a credit note against the relevant invoice.

22. Price changes

OLQ may change subscription prices. For existing recurring customers, we will seek to give reasonable advance notice of a material increase, with the new price normally applying from a future renewal period. Fixed pricing in a signed enterprise agreement remains subject to that agreement.

23. Trials and promotions

OLQ does not offer a free trial. Any free period, credit, discount, pilot or beta access that OLQ agrees to provide individually may be subject to additional conditions, eligibility limits and expiry. Credits have no cash value unless expressly stated.

24. Physical products

Where an Order includes NFC cards, stands, plates or similar items, additional product terms may apply. Customers must inspect deliveries and report material defects within a reasonable time. Minor variations that do not materially affect function are not normally defects. Customised products may be non-returnable except where defective or required by law.

25. Availability, maintenance and changes

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Services may be affected by maintenance, upgrades, security incidents, internet or infrastructure failures, third-party outages or events outside our reasonable control. We may update features and architecture and may change or discontinue functionality where reasonably required by security, legal, operational or third-party platform changes.

26. Beta features

Beta, preview and experimental features may contain errors, change materially or be discontinued. They are provided on an "as available" basis unless we expressly agree otherwise and should not be relied upon for mission-critical use.

27. Suspension

If a payment fails, our payment processor will retry it and notify you, and the Services continue for a grace period of 14 days. If payment is still outstanding after that grace period, your account becomes read-only: you can view existing information, manage billing and exercise your data-protection rights, but cannot make other changes until payment is made. Customer taps on your NFC cards and QR codes continue to reach your Google review page. OLQ may also suspend or restrict access where we reasonably suspect fraud or security risk, the Customer materially breaches these Terms, use threatens infrastructure, legal or regulatory risk arises, or a third-party platform requires action. Where appropriate, we will seek to provide notice and an opportunity to remedy.

28. Termination

The Customer may terminate according to the applicable cancellation process or Order Form. OLQ may terminate for material breach, repeated breach, serious non-payment, unlawful or fraudulent use, material security or legal risk, or where required by law. Serious fraud or malicious misuse may justify immediate termination.

29. Effect of termination and data

When a subscription ends, rights to use paid Services end and integrations may stop. Customers should export information they reasonably need before termination where export functionality is available. OLQ may retain data where necessary for legal, tax, security, backup, dispute or claims purposes. Processor-held personal data is additionally governed by any applicable DPA.

30. Confidentiality

Each party must protect the other party's non-public confidential information, use it only for purposes connected with the agreement and disclose it only to people who need access and are appropriately bound by confidentiality. Exceptions apply to information that is lawfully public, independently developed or lawfully obtained without restriction.

31. Aggregated and anonymised data

OLQ may create genuinely aggregated or anonymised information that no longer identifies individuals or Customers and may use it for analytics, benchmarking, product improvement, research, security and business planning.

32. Warranties and disclaimers

Each party warrants that it has authority to enter into the agreement. OLQ will provide paid Services with reasonable care and skill. Subject to that and mandatory law, the Services are provided on an "as available" basis and OLQ does not warrant uninterrupted service, perfect analytics, continued third-party API availability or particular commercial results.

33. No professional advice

OLQ provides software and technology and does not provide legal, financial, tax, employment or regulatory advice. Customers remain responsible for obtaining appropriate professional advice.

34. Limitation of liability

Nothing excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, OLQ is not liable for indirect or consequential loss, loss of profits, revenue, anticipated savings, business, contracts, goodwill or opportunity. OLQ is not liable for losses caused by third-party platforms, Customer misuse or configuration, or events outside its reasonable control. Subject to liabilities that cannot legally be limited, OLQ's total aggregate liability arising from the Services in any twelve-month period will not exceed fees paid or payable for the affected Services during the twelve months preceding the event giving rise to the claim. For free Services, the aggregate cap is £100.

35. Customer indemnity

To the extent permitted by law, the Customer will indemnify OLQ against third-party claims and reasonable costs arising directly from unlawful Customer Content, Customer infringement of third-party IP rights, fraudulent review manipulation directed by the Customer, or unlawful Customer processing of personal data, except to the extent caused by OLQ's own breach, negligence or unlawful conduct.

36. Force majeure

Neither party is responsible for failure or delay caused by events outside its reasonable control, including major internet or cloud outages, telecommunications failure, natural disasters, fire, flood, war, civil unrest, government action, labour disruption or major cyber incidents.

37. Changes to these Terms

We may update these Terms to reflect legal, security, product, platform or business changes. The "Last updated" date will be revised and material changes affecting existing paid customers may be notified by email or through the Services. Changes normally apply prospectively.

38. Assignment and subcontracting

The Customer may not assign the agreement without OLQ's prior written consent. OLQ may assign it in connection with a corporate restructuring, merger, acquisition, financing or sale of the relevant business. OLQ may use subcontractors and remains responsible for its contractual obligations subject to these Terms.

39. General legal terms

Nothing creates a partnership, joint venture, employment relationship, franchise or agency. Failure to enforce a right is not a waiver. If a term is invalid, the remaining terms continue. These Terms and incorporated documents form the entire agreement concerning their subject matter, subject to any signed enterprise agreement.

40. Governing law and jurisdiction

These Terms and any contractual or non-contractual dispute arising from them are governed by the laws of England and Wales. Subject to mandatory law, the courts of England and Wales have exclusive jurisdiction. The parties are encouraged to try to resolve commercial disputes in good faith before formal proceedings.

41. Acceptance

By creating an OLQ business account, purchasing a Subscription, accepting an Order Form or otherwise accessing paid Services after being presented with these Terms, you confirm that you have read and understood them, have authority to enter into the agreement and agree to be bound by them.
